Pilot Agreement

Parties
Leibniz Education Pty Ltd (ABN 18 692 154 162), of 36 Bangalla St, Warrawee 2074, NSW ("Leibniz"); and
The entity accepting these terms by clicking "I Agree" or similar affirmative action ("School"). Together, "the Parties".
1. Purpose of the Pilot
1.1 The purpose of this agreement is to allow the School to trial the Leibniz mathematics learning platform for Years 11 and 12 at no cost.
1.2 The pilot covers up to 150 student Pro subscriptions for students in Year 11 and Year 12 Standard 2, Advanced, Extension 1 and Extension 2 courses; and teacher Pro subscriptions with the integrated Leibniz management system for relevant mathematics teachers.
2. Pilot Period and Fees
The pilot will run for 90 days from the date the School’s account is provisioned ("Pilot Period"), unless ended earlier under clause 6.
Leibniz will provide access at no cost to the School, students and teachers for the duration of the pilot.
Any ongoing or paid use of the platform after the Pilot Period will be subject to a separate written agreement. This pilot does not oblige either Party to enter into a further agreement.
3. Access and Responsibilities
3.1 The School will provide Leibniz with School Data:
School Data includes: Names and email addresses of Year 11 and Year 12 students completing Standard 2, Advanced, Extension 1 and Extension 2; and names and email addresses of relevant mathematics teachers, and any relevant internal class codes associated with relevant mathematics teachers.
3.2 Leibniz will create user accounts for these students and teachers, provide access to the Pro subscriptions and LMS features; and provide reasonable technical support for the pilot.
3.3 The platform is provided for evaluation and learning support. It should not be relied upon as the School’s only teaching, assessment or record-keeping system. The School remains responsible for supervising student use of the platform, and for all teaching, assessment and record-keeping decisions.
4. Data Use and Privacy
4.1 Student and Teacher Contact Details
Leibniz will only use these details to create and manage accounts, operate and support the platform, and communicate about the pilot, platform use, and any possible continuation of the platform with the School. Leibniz will not use these email addresses for marketing to students, and will not sell or share them with third parties for their own marketing.
4.2 Learning Data
“Learning Data” includes solutions and feedback to mathematics questions and any usage information.
Learning Data will be stored and analysed in de-identified or pseudonymous form where reasonably possible. Leibniz may use Learning Data to improve the platform, including questions, feedback, grading and analytics.
Individual-level reports will be visible only to authorised School staff.
4.3 Data Protection and Compliance
Leibniz will take reasonable technical and organisational measures to protect School Data and Learning Data from unauthorised access, disclosure, alteration or loss.
The School confirms it has, and will maintain, any permissions or consents required under applicable Australian privacy and education laws to share such data with Leibniz for this pilot.
5. Ownership and Use of Data
5.1 The School retains ownership of all data it provides and all School Data and Learning Data generated during the pilot.
5.2 Leibniz retains ownership of the platform, software and all related intellectual property.
5.3 Leibniz may create and use aggregated and anonymised statistics from Learning Data to improve and demonstrate the platform, provided no individual student or teacher is identifiable.
6. Ending the Pilot and Data Afterward
6.1 Either Party may end the pilot at any time by written notice (including email) to the other Party.
6.2 At the end of the pilot, Leibniz will disable access within a reasonable time.
6.3 On written request from the School, Leibniz will delete or return identifiable School Data and Learning Data within a reasonable period, except where retention is required by law or data kept only in irreversibly anonymised or aggregated form.
7. General
7.1 Each Party will keep the other Party’s non-public information confidential, except where disclosure is required by law or to personnel/service providers under similar obligations of confidence.
7.2 To the extent permitted by law, the platform is provided "as is" for pilot purposes, and neither Party is liable to the other for any indirect or consequential loss arising from this agreement.
7.3 This agreement is governed by the laws of New South Wales, Australia, and the Parties submit to the non-exclusive jurisdiction of its courts.
8. Acceptance
8.1 By clicking "I Agree" (or similar affirmative action), the person accepting represents that they have authority to bind the School to these terms.
8.2 Acceptance constitutes a binding agreement as of the date of acceptance ("Effective Date").
8.3 Leibniz will record the email, school name, role at the school, and timestamp of acceptance.
By submitting the teacher registration form and checking the terms checkbox, you confirm that you have read and agree to this Pilot Agreement on behalf of your school.
